1.1 In these Terms and Conditions:
'Account' means a virtual IBAN account held in the name of the Customer used for the execution of payment transactions;
'Agreement' means these Terms and Conditions, as amended from time to time;
'Business Day' means a day other than a Saturday, Sunday or bank or public holiday in Luxembourg;
'Charges' means the fees and charges payable by the Customer for the use of the Services;
'Customer' means the individual or entity using the Virtual IBAN Service;
'Service Provider' means the Wirex virtual IBAN partner that facilitates the the underlying virtual IBAN infrastructure;
'Services' means the virtual IBAN services provided through our partnership with Service Provider as described in these Terms and Conditions;
'VIBAN' means any virtual international bank account number provided as part of the Services;
'we', 'us', 'our' refers to the Wirex entity referred to in Wirex’s General Terms.
2.1 These Terms and Conditions govern your use of our Virtual IBAN Service and are supplemental to our General Terms and Conditions.
2.2 The Virtual IBAN Service is provided through our partnership with Service Provider and allows you to receive and send payments using assigned virtual IBANs.
2.3 We may modify, suspend, or terminate the Virtual IBAN Service at any time with or without notice, including in circumstances where our Service Provider makes changes to or terminates their service. We shall not be liable for any consequences of such action.
2.4 You shall use the Services only for lawful purposes and in accordance with any operating instructions we provide.
3.1 Current Charges for the Virtual IBAN Service are set out in our fee schedule available at Wirex Fees.
3.2 We may review and change the Charges at any time by providing at least two months' notice of any changes.
4.1 We may: (a) assign, withdraw or suspend any VIBAN at our sole discretion; (b) terminate or suspend the Service immediately if required by law or regulation or if our Service Provider terminates or suspends their service; (c) terminate the Service for any other reason. Where feasible we will provide two months' notice of any such change, but in certain circumstances such changes may need to be made with immediate effect in which event we will not be able to provide such prior notice.
4.2 You may terminate use of the Service at any time by giving notice to us.
5.1 Nothing in this Agreement shall limit or exclude our liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability which cannot be limited or excluded by applicable law.
5.2 Subject to clause 5.1, we shall not be liable for: (a) any suspension, interruption or termination of the VIBAN Service, including where caused by our Service Provider; (b) loss of profits, sales, business, or anticipated savings; (c) loss of use or corruption of software, data or information; (d) any indirect or consequential loss.
6.1 We may change these Terms and Conditions at any time. Where feasible we will providing at least two months' notice by e-mail.
6.2 If you do not agree with the changes, you may terminate your use of the Service before the changes take effect. Continued use of the Service after the notice period constitutes acceptance of the changes.
7.1 This Account is not covered by a deposit guarantee scheme.
8.1 Complaints regarding any element of the service should be sent to our Customer Services team.
8.2 If we fail to resolve your complaint to your satisfaction within 15 business days (or 35 days in exceptional circumstances), you may refer your complaint to the appropriate regulatory authority as set out in our Customer Complaints policy.
